Please read these Terms and Conditions ("Terms") carefully before using QuickSlip. By accessing or using the platform, you agree to be bound by these Terms and all applicable South African laws and regulations. If you do not agree, do not use this platform.

2. Acceptance of Terms
By creating an account or using QuickSlip, you confirm that you are at least 18 years old, have the legal authority to bind your organisation to these Terms, and agree to comply with all applicable laws including the Electronic Communications and Transactions Act 25 of 2002 (ECT Act) and the Protection of Personal Information Act 4 of 2013 (POPIA).
These Terms constitute an electronic agreement as contemplated under the ECT Act and are binding on all parties upon acceptance.
3. Description of Service
QuickSlip is a cloud-based, multi-tenant receipt management platform for accounting firms. The platform enables:
- Upload, storage, and retrieval of financial receipts and supporting documents
- Automated data extraction (OCR) from uploaded receipts
- Organisation of receipts by client company within your firm
- Integration with Microsoft 365 / SharePoint for cloud storage and sync
- Role-based access management for firm staff
- Access via web browser and iOS mobile application
We reserve the right to modify, suspend, or discontinue any feature or the service with reasonable notice. We will endeavour to provide at least 30 days' notice for material changes.
From time to time we may perform scheduled maintenance, emergency maintenance, or security updates. We will use commercially reasonable efforts to minimise disruption.
4. Accounts and Registration
You agree to:
- Provide accurate, complete, and up-to-date registration information
- Maintain the security of your account credentials and not share them with unauthorised persons
- Notify us immediately of any unauthorised access at [email protected]
- Accept responsibility for all activities that occur under your account
5. Tenant Responsibilities
As a Tenant (accounting firm), you are the responsible party for personal information processed on the platform on behalf of your clients under POPIA. You acknowledge that:
- You have a lawful basis to upload and process your clients' financial documents through QuickSlip
- You are responsible for obtaining any necessary consents from your clients before uploading their personal information
- You will ensure user accounts are only granted to authorised staff
- You will comply with all applicable data protection laws including POPIA when using the platform
- QuickSlip acts as an operator (as defined in POPIA) when processing personal information on your behalf
6. Acceptable Use
You agree not to use QuickSlip to:
- Upload, transmit, or store content that is unlawful, harmful, fraudulent, or in violation of any applicable law
- Attempt to gain unauthorised access to the platform, other tenants' data, or our systems
- Interfere with or disrupt the integrity or performance of the platform
- Reverse engineer, decompile, or disassemble any part of the platform
- Use the platform for any purpose other than legitimate receipt and document management
- Resell, sublicense, or commercialise access to the platform without written consent
- Upload malicious code, viruses, or software designed to disrupt systems
- Upload special personal information unless you have established and documented a lawful basis under applicable law
7. Microsoft 365 and SharePoint Integration
If you connect your Microsoft 365 account to QuickSlip, you acknowledge that:
- Your use of Microsoft services is also subject to Microsoft's own Terms of Service and Privacy Policy
- You authorise QuickSlip to access, read, and write files to designated SharePoint folders on your behalf via OAuth 2.0
- Access tokens are stored encrypted within our platform to enable automatic synchronisation
- You may revoke this integration at any time from platform settings or through your Microsoft account's connected app permissions
- QuickSlip is not responsible for changes Microsoft makes to its APIs, pricing, or service availability
8. Subscription, Fees, and Payment
QuickSlip is offered on a subscription basis. You agree to:
- Pay all applicable fees in South African Rand (ZAR) or as otherwise agreed
- Provide accurate billing information and keep it up to date
- Acknowledge that fees are non-refundable except as required by the Consumer Protection Act 68 of 2008 (CPA) where applicable
- Pay any applicable taxes, levies, or statutory charges unless expressly stated otherwise in writing
We reserve the right to suspend or terminate access for non-payment after reasonable notice.
9. Intellectual Property
All intellectual property rights in the QuickSlip platform — including software, trademarks, logos, and documentation — are owned by or licensed to QuickSlip (Pty) Ltd. These Terms grant you only a limited, non-exclusive, non-transferable licence to use the platform in accordance with these Terms.
You retain all ownership rights to data and documents you upload. By uploading content, you grant us a limited licence to process, store, and display that content solely for the purpose of providing the service.
10. Data Protection and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. We process personal information in accordance with POPIA.
QuickSlip acts as an operator under POPIA when processing personal information on behalf of Tenants (who are the responsible parties). We will only process personal information in accordance with your instructions and these Terms.
Each party will implement appropriate technical and organisational measures for information security. You must promptly notify us of any suspected compromise of your credentials or unauthorised account activity. We will notify the relevant Tenant without undue delay after becoming aware of a confirmed security incident affecting Tenant data, where required by applicable law.
11. Confidentiality
Each party agrees to maintain the confidentiality of the other's confidential information and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms.
12. No Professional Advice
QuickSlip provides workflow and document management functionality only. It does not provide legal, tax, accounting, audit, or financial advice. You are solely responsible for validating OCR output and any data used for statutory, tax, or regulatory filings.
13. Disclaimer of Warranties
QuickSlip is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by South African law. We do not warrant that:
- The platform will be uninterrupted, error-free, or free from harmful components
- OCR extraction results will be 100% accurate or suitable for tax or legal submissions without human review
- The platform will meet all your specific requirements
Nothing in these Terms excludes liability that cannot be excluded under the Consumer Protection Act or other applicable South African legislation.
14. Limitation of Liability
To the maximum extent permitted by South African law, QuickSlip's total liability for any claim arising from your use of the platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
In no event shall QuickSlip be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
The exclusions and limitations in these Terms do not apply to liability that cannot legally be excluded or limited, including liability arising from fraud or wilful misconduct.
15. Indemnification
You agree to indemnify and hold harmless QuickSlip, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the platform in violation of these Terms; (b) your violation of any applicable law; or (c) your infringement of any third-party rights.
This indemnity does not apply to the extent a claim results from QuickSlip's own breach of these Terms, fraud, or wilful misconduct.
16. Suspension and Termination
Either party may terminate these Terms upon 30 days' written notice. We may terminate or suspend your access immediately and without notice if:
- You breach any material term and fail to remedy it within 14 days of written notice
- You are placed under business rescue, sequestrated, wound up, or otherwise become insolvent
- We are required to do so by law or court order
Upon termination, your right to access the platform ceases. You may request an export of your data within 30 days. After this period, data may be deleted in accordance with our retention policy.
We may also suspend access immediately where reasonably necessary to prevent harm, maintain security or service integrity, investigate suspected abuse, or comply with legal obligations.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of South Africa. Disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to mediation, and if necessary binding arbitration, under the rules of the Arbitration Foundation of Southern Africa (AFSA), with proceedings in English in Johannesburg, South Africa.
Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction in South Africa.
18. General
- Entire Agreement: These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between the parties.
- Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations without our prior written consent.
- Amendments: We may amend these Terms by providing at least 30 days' notice via email or in-platform notification. Continued use after the effective date constitutes acceptance.
- Notices: Legal notices to QuickSlip must be sent to [email protected]. Notices to you may be sent to the account email or by in-platform notification.
- Force Majeure: Neither party is liable for delay or failure caused by events beyond reasonable control, including power outages, network failures, natural disasters, labour disputes, and acts of government.
- Survival: Clauses on fees due, intellectual property, confidentiality, disclaimers, limitation of liability, indemnities, disputes, and general legal terms survive termination.
- No Third-Party Beneficiaries: These Terms create rights and obligations only between the parties, except where expressly stated otherwise.
